These Terms of Use (“Terms”) govern your access to and use of Nexu7, including nexu7.com, our applications, APIs, AI tools, social media management features, and related services (collectively, the “Services”). The Services are provided by ACTIVETECH PORTAL, Dubai, United Arab Emirates (“Nexu7”, “we”, “us”, or “our”).

By creating an account, accessing, purchasing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for an organization, you represent that you are authorized to bind that organization.

1. Eligibility and Accounts

• You must be at least 18 years old and legally able to enter into a binding agreement.

• You must provide accurate and current information and keep it updated.

• You are responsible for safeguarding your login details and all activity under your account.

• You must promptly notify us at info@nexu7.com of suspected unauthorized access or a security incident.

2. The Services

Nexu7 may allow users to connect third-party channels, create and schedule content, generate AI-assisted content and assets, manage messages and campaigns, collaborate with team members, analyze performance, and use related marketing tools. Features may vary by plan, region, device, or connected platform and may change over time.

3. Subscriptions, Billing, and Refunds

• Fees: Paid plans, add-ons, and credits are charged as shown at checkout.

• Recurring subscriptions: Monthly or annual subscriptions automatically renew unless cancelled before the renewal date. You authorize us and our payment providers to charge the applicable payment method.

• Cancellation: You may cancel through your account settings or by contacting us. Cancellation prevents future renewal but does not normally create a refund for the current billing period.

• Refunds: Except where required by law or expressly stated at checkout, payments are non-refundable, including for unused time, credits, features, or downgraded plans.

• Taxes: Prices may exclude taxes, duties, or similar charges, which are your responsibility where applicable.

• Price changes: We may change prices prospectively. For recurring plans, changes apply no earlier than the next renewal after reasonable notice.

• Failed payments: We may suspend, restrict, or downgrade Services if payment is overdue or cannot be processed.

4. Connected Third-Party Platforms

The Services may integrate with social media, messaging, advertising, storage, analytics, and other third-party platforms. Your use of those platforms is governed by their own terms and policies. By connecting an account, you authorize Nexu7 to access and act on that account within the permissions you grant. You are responsible for complying with the connected platform’s rules. We are not responsible for platform changes, restrictions, downtime, API limits, account suspensions, or actions taken by a third party.

5. Your Content

• You retain ownership of content you create, upload, submit, connect, or publish through the Services (“Your Content”).

• You grant Nexu7 a worldwide, non-exclusive, royalty-free license to host, copy, store, process, transmit, display, modify for technical purposes, and otherwise use Your Content only as reasonably necessary to operate, secure, support, and improve the Services and carry out your instructions.

• You represent that you have all rights and permissions necessary for Your Content and its use through the Services.

• You are responsible for Your Content and for reviewing it before publication.

6. AI-Generated Content

• The Services may generate text, images, recommendations, and other outputs using artificial intelligence.

• AI output may be inaccurate, incomplete, biased, offensive, non-unique, or unsuitable.

• You must review, verify, and, where necessary, edit AI output before use or publication.

• You are responsible for ensuring that your prompts, inputs, and use of output comply with law, third-party rights, platform policies, and disclosure requirements.

• We do not guarantee ownership, registrability, exclusivity, accuracy, or fitness of AI-generated output.

7. Acceptable Use

You must not use the Services to:

• Engage in unlawful, fraudulent, deceptive, abusive, or harmful activity.

• Send spam or communications that violate anti-spam, telemarketing, privacy, or marketing laws.

• Create, upload, publish, or distribute content that is illegal, infringing, defamatory, hateful, threatening, exploitative, or otherwise harmful.

• Violate the terms, permissions, rate limits, or automation rules of a connected platform.

• Upload malware, attempt unauthorized access, bypass security, or interfere with the Services.

• Reverse engineer, scrape, resell, sublicense, or create a competing service from the Services except where applicable law expressly permits it.

• Use the Services in a way that could damage, overload, or disrupt our systems or another user’s access.

We may investigate suspected violations and may remove content, limit features, suspend accounts, or terminate access.

8. Team and Workspace Use

Workspace owners and administrators are responsible for invited users, permissions, connected accounts, and activity within their workspace. Each user must comply with these Terms. The workspace owner controls workspace access and may be able to access, export, or delete workspace content.

9. Intellectual Property

The Services, including our software, design, branding, documentation, and other materials, are owned by ACTIVETECH PORTAL or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services for their intended purpose during your authorized access or subscription. All rights not expressly granted are reserved.

10. Feedback

If you provide ideas, suggestions, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate them without restriction or compensation.

11. Third-Party Services

The Services may contain links to or integrations with third-party products and services. We do not control and are not responsible for third-party services, content, security, availability, or practices. Your use of a third-party service is at your own risk and subject to its terms.

12. Service Availability and Changes

We work to keep the Services available but do not guarantee uninterrupted, error-free, or secure operation. We may add, change, limit, suspend, or discontinue features, integrations, or plans, and may perform maintenance. We are not liable for interruptions caused by third parties, maintenance, internet failures, force majeure, or events outside our reasonable control.

13. Suspension and Termination

• You may stop using the Services or close your account at any time, subject to outstanding payment obligations.

• We may suspend or terminate access if you breach these Terms, fail to pay, create legal or security risk, misuse the Services, or where required by law or a connected platform.

• After termination, your right to use the Services ends. We may delete or restrict access to Your Content after a reasonable period, subject to our Privacy Policy and legal obligations.

• Sections that by their nature should survive termination will continue to apply.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES, CONNECTED PLATFORMS, ANALYTICS, AI OUTPUT, OR MARKETING RESULTS WILL BE ACCURATE, AVAILABLE, SECURE, UNINTERRUPTED, OR SUITABLE FOR YOUR NEEDS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTIVETECH PORTAL, NEXU7, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ACTIVETECH PORTAL, Nexu7, and their affiliates, officers, employees, contractors, and licensors from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from Your Content, your use of the Services, your breach of these Terms, or your violation of law or third-party rights.

17. Governing Law and Courts

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law rules. Subject to any mandatory rights that cannot be waived, the courts of Dubai, United Arab Emirates will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.

18. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on nexu7.com and update the “Last updated” date. Where required, we will provide additional notice of material changes. Continued use of the Services after the updated Terms take effect constitutes acceptance.

19. Miscellaneous

• Entire agreement: These Terms, the Privacy Policy, and any plan-specific terms shown at checkout form the entire agreement regarding the Services.

• Severability: If any provision is unenforceable, the remaining provisions remain effective.

• No waiver: Failure to enforce a provision is not a waiver.

• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, merger, financing, sale of assets, or transfer of the Services.

• No agency: These Terms do not create a partnership, employment, agency, or joint venture relationship.
